Circle Internet Group secured approval from the New York Department of Financial Services to establish a limited-purpose trust company tied to its USDC operations, adding state supervision to a regulatory structure that also includes a newly authorized federal trust bank.

The company announced the approval for Circle Internet Trust Company LLC, which will operate as Circle New York Trust. The charter creates a New York-regulated entity within Circle’s U.S. operating structure and supports the company’s plans for USDC issuance under NYDFS oversight.

Circle said the authorization strengthens the regulatory foundation supporting USDC in New York, where the company maintains its global headquarters. The approval also extends Circle’s relationship with NYDFS, which began when the company became the first recipient of a BitLicense in 2015.

Jeremy Allaire, co-founder, chairman and chief executive of Circle, said the company had pursued the state charter for years.

“Earning a New York trust charter has been a longstanding objective for Circle given the regulatory clarity that comes with it,” Allaire said.

Allaire also pointed to NYDFS’ broader influence over digital-asset regulation and Circle’s presence in the state.

“NYDFS is an international standard setter for digital asset regulation, and New York is Circle’s global headquarters,” he said. “This charter reflects over a decade of regulatory commitment and positions USDC within a strong, respected framework as digital dollars become central to the global financial system.”

State and federal entities serve different roles

The New York approval follows the Office of the Comptroller of the Currency’s final authorization for Circle to establish First National Digital Currency Bank, N.A., which will operate as Circle National Trust.

The OCC granted that approval on July 10, 2026. Circle National Trust will operate under federal supervision and provide fiduciary custody services for digital assets.

The two approvals cover separate legal entities and functions. Circle New York Trust is expected to serve as the state-regulated entity associated with USDC issuance, while Circle National Trust will initially focus on safeguarding digital assets for clients through federally supervised fiduciary custody.

Circle’s original national trust-bank application included plans for the federal entity to manage the assets backing USDC. That responsibility was deferred to a later phase and is not part of Circle National Trust’s immediate authorized role.

The structure gives Circle regulatory coverage at both the New York state and federal levels without assigning identical responsibilities to the two entities. USDC issuance and fiduciary custody will remain divided across their respective regulatory frameworks.

Circle describes its broader business as a regulated stablecoin network built around USDC, the Circle Payments Network and the Arc blockchain. USDC is the second-largest U.S. dollar-pegged stablecoin behind Tether’s USDT.
